Agent Agreement

This Agent Agreement (“Agreement”) supplements the Terms of Service and applies when you apply to become, or act as, a LaunchValid agent.
Operator: AmpFi App LLC, a Wyoming limited liability company, doing business as LaunchValid.
1. What an agent does
As an agent, you introduce founders to LaunchValid using your own link, and you help the founders you introduce get set up. You are paid by us for introductions that result in a paid subscription, on the terms in section 3.
You are an independent contractor, not an employee, partner, joint venturer, or legal agent of AmpFi App LLC. The title “agent” describes what you do here and does not give you authority to bind us, to make commitments on our behalf, or to hold anything out as our official position. You are solely responsible for your own taxes, insurance, licenses, and compliance with the laws that apply where you work.
2. Becoming an agent, and staying one
You apply, and we approve or decline. Approval is at our discretion and is not automatic.
You earn nothing until you are approved. If you share your link before approval and a founder subscribes, no commission arises from that introduction.
We may suspend your approval at any time, including for misrepresenting the product, contacting people who have asked not to be contacted, or attempting to earn on your own accounts. Suspension stops future earning. It does not take back anything you have already been paid, and it does not cancel an instalment that has already been released.
3. What you are paid, and when
For each founder you introduce who subscribes to a paid plan for the first time, you earn a commission based on the plan they subscribe to. The current amounts are shown in your agent screens before you do the work, and they may change for future introductions.
The commission is paid in three equal instalments, and each one is released by a paid invoice.
- The first instalment is released when the founder pays their first invoice.
- The second when they pay their second.
- The third when they pay their third.
A founder on monthly billing pays an invoice each month, so the three instalments arrive across their first three months. A founder on annual billing pays one invoice a year, so those instalments arrive a year apart. Either way, the rule is the same: a paid invoice releases an instalment, and nothing else does.
If the founder stops paying, the instalments that have not been released are cancelled. You keep everything already released. This is not a clawback: we do not take back money that has already been paid to you.
One exception, and only one. If the bank takes back the payment behind an instalment, through a chargeback on the founder's card, that instalment was never truly funded, and we reverse it. Your earnings screen shows it as reversed, with the reason. A dispute the founder later loses does not create a second reversal, and a refund we choose to give a founder is our cost, never yours.
One commission per founder, once. A founder who cancels and subscribes again does not produce a second commission.
No commission arises if the founder never subscribes, if they subscribe while your approval is suspended or pending, or if the account shares an email address with your own.
Payments are made to the payout account you connect. You are responsible for keeping that account able to receive money; we cannot pay a commission to an account that is not ready, and we will tell you when that is the reason.
4. Helping the founders you introduce
Your commission covers helping the founders you introduce get set up, within the scope and time window described in your agent screens.
You may also sell your own services to a founder you introduced, beyond that scope. If you do:
- The work is arranged through the LaunchValid marketplace, under the Marketplace Seller Agreement, and you must meet its requirements, including approval as a seller and, for regulated work, a verified license.
- Your request must say plainly what the included help already covers and that the work you are quoting for is separate and paid. A founder must never pay you for something their subscription already includes.
- The money is held and released by the marketplace in the ordinary way, with the same delivery, dispute and rating rules that apply to any seller.
5. What the founder is told
Founders you introduce are told that LaunchValid pays you. This is shown in the product, not buried in a document. It is a material connection, and both the law in several places and plain honesty require it to be disclosed.
You must not tell a founder that your help is free, that you are independent of us, or that you are not paid for the introduction.
6. How you may promote LaunchValid
You must:
- Describe the product accurately, and never promise outcomes, results, funding, or revenue.
- Make clear that you are an agent, not LaunchValid itself.
- Follow the applicable rules on advertising and unsolicited contact where you operate.
You must not:
- Bid on our brand name in paid search, or run advertising that appears to be from us.
- Use unsolicited bulk email, messaging, or automated contact.
- Create accounts, or ask anyone else to create accounts, in order to generate commissions.
- Offer a rebate, cash, or other inducement for signing up through your link, unless we have agreed to it in writing.
Breaching this section is grounds for immediate suspension, and for withholding any commission that arose from the breach.
7. Your data, and the founder’s
We store your agent record, your link, what you are owed, and what we have paid you. You can ask us for a copy or ask us to delete your account under the Privacy Policy.
You are not given the personal data of the founders you introduce. Your earnings screens show what each introduction is worth and whether invoices were paid, and never the founder’s billing details or account contents. If a founder shares information with you directly, you are responsible for handling it lawfully.
8. Ending this Agreement
Either of us may end this Agreement at any time, with notice to the other.
Ending it stops future earning. Instalments already released are still paid. Instalments not yet released are cancelled.
9. Changes to this Agreement
We may change this Agreement. Changes take effect for introductions made after the change. If we change it, you will be asked to accept the new version before you earn again, and the version you accepted is recorded against your account.
10. Law
This Agreement is governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Disputes are handled as described in the Terms of Service.
