Terms of Service

What changed: We described the social posting feature these Terms had not yet covered. Section 3 now lists it, Section 10 names Post for Me as the provider that delivers your posts, and a new Section 6.7 (Publishing to your connected social accounts) says plainly that we transmit the content you approve to the platforms you connect under their terms, that a scheduled post can publish later than its scheduled time and can be sent again after a refusal that looks temporary, that delivery is confirmed after the fact and we email you if a post permanently fails, and that approving a planned week schedules its pieces to publish automatically, with a control that stops everything not yet posted. Earlier, we added Section 5.10 (Included first-project setup). Your first paid subscription now includes us setting up your whole first project automatically: research, action plan, product and engineering documents, brand directions with a designed logo, a clickable prototype, a demand test page at your address, and an investor pack where your answers support one. The section says what is included, that it uses none of your credits, that it happens once per account, that choosing your brand look (if you asked to) and publishing your page always remain your own actions, and what happens if a step cannot finish. Earlier, we corrected Section 5.7 (Live working sessions and consent). It previously said your consent to a live working session was given once and then stood for later sessions. That was never how the product worked: we ask for your consent separately for every session, and accepting one session has never carried over to the next. The section now says so. Nothing about this changes what a program can see, and it narrows rather than widens what you are agreeing to. Earlier, we added three clauses for one-time document purchases. Section 5.9 (Free revision on a one-time document purchase) describes the free revision you get within 48 hours of a document being ready, capped at three free revisions per project, non-transferable, and suspended while a chargeback is open. It also says which documents are reworked one section at a time and which are replaced as a whole. Section 6.5 (Brand assets and trademark clearance) makes clear that a starting wordmark or brand kit we generate is a starting point only, that you are responsible for trademark clearance before commercial use, and that we do not perform a trademark search. Section 6.6 (Business plan is not legal, tax, or financial advice) restates that a business plan document is a research-derived starting point, not professional advice. Earlier updates added Traffic Packs and how hosting bandwidth is billed, made clear that you own the outputs we generate for you, explained that a published page or app includes our hosting runtime, and added rules for published pages plus a copyright takedown process.
1. Agreement to these Terms
These Terms of Service (“Terms”) govern your access to and use of the LaunchValid website, applications, and related services (collectively, the “Service”) operated by AmpFi App LLC, a Wyoming limited liability company, doing business as LaunchValid (“LaunchValid,” “we,” “us,” or “our”). The Service includes launchvalid.com, our applications, and the founder subdomains we host on vld.vc, along with the visitor analytics on those pages.
By creating an account, clicking “I agree,” or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
2. Who may use the Service
You must be at least 18 years old and able to form a binding contract. The Service is intended for founders, entrepreneurs, and professionals validating or launching business ideas. You may not use the Service if you are barred under applicable law or if we have suspended or terminated your account.
3. Description of the Service
LaunchValid provides:
- AI-powered research workspace: structured business research documents, research import, comment-driven updates, and a Research Notebook with grounded chat and citations.
- Team collaboration: project invites with role-based access (owner, editor, viewer, chat-only) and configurable source scope. On the Business plan, an account owner can also build an account team whose members create their own projects paid from the owner's shared credit pool.
- Validation tasks: task lists and publishing to a marketplace of independent sellers.
- Concept Design Studio: AI-generated wireframes, brand directions, and full-color clickable prototypes for your business idea (separate from LaunchValid’s own branding).
- Validation Studio: hosted validation pages and working built apps generated from your research and published on
vld.vcsubdomains to test real demand. These pages and apps collect visitor analytics and the leads or entries people submit, which we store for you as described in the Privacy Policy. - Fundraising workspace: pitch decks and data rooms that present curated fundraising documents to investors. You can share a data room through expiring share links, including for sensitive financial documents such as a cap table, and we record the viewer email and view analytics so you can see who opened the room.
- Posts and social publishing: a studio that writes social posts and matching images from your research and plans them into a weekly calendar. If you connect your social accounts, we deliver the posts you schedule to those accounts at their planned times through our publishing provider, as described in Section 6.7.
- Programs (accelerators): organizations can run application intake, AI-assisted screening, cohorts, pooled credits that fund member research, live working sessions, and alumni tracking, as described in Section 5.
- Marketplace and payments: founders may publish tasks; sellers may bid; payments are processed through Stripe Connect with funds held until you approve deliverables.
- Optional build quotes: custom development quotes from LaunchValid after concept approval (separate agreement may apply).
We may add, change, or discontinue features at any time. We do not guarantee uninterrupted availability.
4. Accounts and security
You register and sign in with Google or with an emailed sign-in link (a single-use link we send to your email address). We do not use passwords. You are responsible for the security of the email account or Google account you sign in with. Notify us promptly at hello@launchvalid.com if you suspect unauthorized access.
You must provide accurate registration information and keep it current.
5. Subscriptions, credits, and billing
5.1 Plans
Paid plans (Starter, Pro, Business) and optional credit boost purchases are billed through Stripe using hosted Checkout, the Pricing Table on our website, and the Stripe Customer Portal for subscription management. Boosts are one-time credit purchases sold in fixed sizes (500, 1,000, 1,500, 2,000, and 5,000 credits) at the prices shown on our website. We do not collect or store full payment card numbers on our servers. Current pricing is shown on our website and may change with notice.
5.2 Credits
AI features (research updates, notebook chat, research sync, Concept Studio generations, and comment-driven regenerations) consume credits from your plan. Credits reset monthly on paid plans according to your tier. When credits are exhausted, AI features stop until you upgrade, purchase a boost, or your next billing cycle resets your allowance. You can also enable auto top-up, which buys a boost of the size you choose automatically when your balance falls below a threshold you set. You can change or turn off auto top-up at any time.
There is no free plan and no ongoing free allowance. When you sign in and describe your idea, you get a free first look at no cost and with no credit card: your idea stated back to you, the three riskiest assumptions in it, and your first three steps. The first look is available once per account. Going further, to the full research, your prototype, your live page, your working app, and your investor pack, is paid, and when you take out your first subscription we set your first project up for you at no credit cost, as described in Section 5.10. Starter is currently $43 a month for 600 credits, and single documents can also be bought on their own as a one-time purchase. If you cancel a paid subscription, credits already on your account are not deleted, but your monthly allowance stops renewing and you cannot spend those credits on AI features until you subscribe again. Marketplace escrow is separate from credits and is not affected by your plan.
5.3 Business team credit pool
On the Business plan you can invite team members. Projects your members create are paid for from your account's credit pool, and you are responsible for that usage. You can see the title and credit usage of each team project, and you can turn a member's ability to create projects on or off at any time. Removing a member, or a member leaving your team, stops future pooled billing for that member: their existing team projects convert to their own personal projects, and any credits already spent remain charged to your account. Team seats do not add credits; the shared pool is the limit, and you can add boost packs or turn on auto-boost to extend it.
5.4 Taxes
Prices may exclude applicable sales or use taxes, which we may collect where required.
5.5 Refunds
Subscription fees are generally non-refundable except where required by law or expressly stated at checkout. Credit boost purchases are non-refundable once credits are applied.
5.6 Programs and pooled credits
A program, such as an accelerator, can fund a founder's research from a shared credit pool it owns. If you join a program as a founder, the AI features you use can draw from that pool instead of your own plan, up to the limits the program sets.
- Roles and visibility. A program has these roles, and each sees only what its role allows. A program admin runs the program and manages the pool, cohorts, and members. Reviewers see applications and the materials needed to score them. Monitors can read research sections across a cohort, but not your private notebook. Founders are the people building in the program. Live working sessions have their own visibility rule, described in Section 5.7.
- Graduation. When a program graduates you, billing flips back to you: pooled funding stops, and your projects continue on your own plan. Graduation does not come with credits of its own. Once pooled funding stops, AI features need your own paid subscription.
- Alumni outcomes. After you graduate, a program may ask you to share outcome information (for example, funding raised or your current stage) for its alumni reporting. This capture is optional and recorded with your consent; you choose whether to share it.
5.7 Live working sessions and consent
A program can run a live working session on your project: a shared, real-time notebook where a program admin, and any monitors the admin adds, can see the session thread as it happens and ask questions grounded in your research. Because this exposes a live view of your work to the program, we ask for your explicit consent under the live session consent (version 2026-07-24), and we ask for it separately for every session. That consent plainly states that a program admin and monitors can see your session thread in real time. Accepting covers only the session you accepted for. It does not carry over, so a later session asks you again, which is also how you see the wording again if we materially change it. You can accept as soon as a session is scheduled, which lets a program admin run that session at its scheduled time whether or not you are online for it. You can decline, and no session goes live without your acceptance recorded against that session. This is separate from your private notebook, which stays private to you.
5.8 Hosting bandwidth and Traffic Packs
When you publish a validation page or a working app, we host it and give each plan a monthly bandwidth allowance (currently 10 GB on Starter, 30 GB on Pro, and 100 GB on Business). If a page reaches its allowance for the month, it stops serving and shows a short “taking a break” notice until the next monthly cycle, so you are never charged just because a page gets busy.
Traffic Packs are optional one-time purchases that add bandwidth to a page for the current cycle, sold in fixed sizes at the prices shown on our website (currently a 20 GB pack and a 50 GB pack). Unused Traffic Pack bandwidth does not roll over; each pack applies to the monthly cycle in which it is bought.
Automatic top-up is off by default. You can turn on automatic Traffic Pack top-up for hosting; if you do, then when one of your pages nears its allowance we will charge the saved payment method on file for one Traffic Pack of the size you choose when you turn this on, without asking again at that moment, and raise that page's limit for the cycle. This is a card charge that happens when you are not present, based on the standing instruction you gave when you turned it on. We email you each time it happens. You can turn automatic top-up off at any time, which stops any future automatic charge. Because a Traffic Pack is consumed as bandwidth is served, Traffic Pack charges are non-refundable once the pack is applied, except where the law requires otherwise.
5.9 Free revision on a one-time document purchase
When you buy a single document on its own, such as an Investor Deck or a Brand Kit, we include a limited free revision so that you can put one thing right without spending credits or subscribing.
- One free revision per document, per project. For each document produced from a one-time purchase you may request one free revision of that document only. A Data Room counts each document in the room on its own, so a Data Room purchase carries three free document revisions.
- 48-hour window from when the document is ready. The free revision window opens when the document is marked ready in your project and closes 48 hours later. Requests submitted after the window has closed require credits (through a boost or an active subscription).
- Overall cap of three free revisions per project. Across every document in a project, you may claim up to three free revisions. Additional revisions after the cap require credits.
- Reworking one part instead of the whole document. For the Validation Report and the Business Plan, a free revision reworks the one section you flag, and each section you flag counts as one of your three. For the Investor Deck, Investor Memo, Product Spec, and Brand Kit, a free revision replaces that document.
- Non-transferable and account-bound. The free revision entitlement is tied to the account that made the purchase and cannot be transferred to another account or applied to another project.
- Suspended by a chargeback. If you file a chargeback or otherwise dispute the payment behind a one-time purchase, the free revision entitlement for the deliverables tied to that purchase is suspended. If the payment is later reinstated, we may restore any unused revision at our discretion.
5.10 Included first-project setup
When you start your first paid subscription, we set up your first project for you. The setup runs automatically after checkout and produces, in order: your research, your action plan, your product and engineering documents, three brand directions with one applied (you can choose to pick the direction yourself when you describe your idea), a designed logo, a clickable prototype, a demand test page at the address shown when you created the project, and, where your answers support it, your investor pack.
- Included and credit-free. This one setup is included with your plan. It does not consume your monthly credits, and it has no separate price or cash value.
- Once per account. The included setup applies to one project, on your first subscription. Later projects, and everything you generate after the setup finishes, use your credits in the normal way, and regenerating or editing anything the setup produced also uses credits.
- It acts on your instructions. The setup generates on your behalf from what you told us when you described your idea and any optional questions you answered. Two things always remain yours to do: choosing your brand look if you asked to choose it, and publishing your demand test page, which we never do for you and which requires your consent as described in the Publishing Policy.
- If a step cannot finish. If a part of the setup cannot be completed, for example the investor pack when the fundraising questions were skipped, the rest of the setup still completes and nothing is charged either way. We retry failed steps automatically, and our team can restart a stuck step for you.
- Non-transferable. The included setup is tied to the account that subscribed and cannot be moved to another account or exchanged for credits or money.
6. AI-generated content: important disclaimers
Read this section carefully.
6.1 Not professional advice
Research documents, notebook answers, concept artifacts (wireframes, brand directions, prototypes), and other AI outputs are for informational and exploratory purposes only. They are not legal, tax, accounting, investment, or other professional advice. LaunchValid does not practice law, accounting, or financial advisory services.

Concept Studio: what Concept Studio produces is an AI-generated concept to help you picture your product. It is not a final design, not an engineering deliverable, not code you can put in front of customers, and not legal, tax, or investment advice.
You must consult licensed professionals before acting on any output, especially for legal, tax, regulatory, or investment decisions.
6.2 Accuracy and limitations
AI outputs may be incomplete, outdated, or incorrect. We use source citations and assumption labels where possible, but we do not guarantee accuracy, completeness, or fitness for a particular purpose. You are solely responsible for verifying facts and for decisions you make based on the Service.
6.3 No guaranteed validation
We do not guarantee that your idea will succeed, that investors will approve it, or that research outputs constitute “validation” in any legal or commercial sense. We provide a structured research and execution workflow, not a promise of outcomes.
6.4 Export of legal and tax sections
Export of research (Word, PDF, Google Docs) may be restricted until applicable legal or tax sections are marked validated by an appropriate professional on the platform, where required by your plan and project settings.
6.5 Brand assets and trademark clearance
When you buy a Brand Kit, a Concept Design Studio brand, or any other deliverable that includes a wordmark, logotype, color palette, typography, or other brand assets, what we generate is a starting point, not a cleared or protectable brand. LaunchValid does not perform a trademark search, brand availability check, or clearance review of any kind, and we make no representation that a generated name, wordmark, or logo is available for use in any territory or industry.
Before you use a generated wordmark, logotype, name, or other brand asset in commerce, in a public launch, or on a filing, you are responsible for:
- Running (or having an attorney run) a trademark clearance search covering the classes and territories where you intend to use the mark.
- Confirming that no third party holds a conflicting registration, common-law right, or domain that would put your use at risk.
- Deciding whether to register a mark, and choosing counsel to file if you do.
You bear the entire risk of using a generated brand asset without independent clearance. LaunchValid is not responsible for infringement claims, opposition, cancellation, or dilution allegations arising from a mark, name, or asset generated on the Service.
6.6 Business plan document is not legal, tax, or financial advice
A business plan document produced by LaunchValid (whether bought on its own or generated inside a subscription) is a starting-point document built from research. It is written by an AI system using the information you provide and the sources we cite, and it is intended to help you organize a plan and hand a coherent draft to advisors, an accelerator, or a bank.
A business plan document is not legal advice, is not tax advice, is not accounting or bookkeeping advice, is not investment or financial advice, and is not an offer or solicitation of securities. Any market sizing, revenue forecast, unit-economics estimate, financing recommendation, or timeline in the document is illustrative and unverified.
Before you rely on any part of a business plan document for a real-world decision (raising money, filing a document, signing a lease, hiring, or projecting cash), consult a qualified professional in the relevant field (an attorney, a CPA, a licensed financial advisor, or an accountant) and have them review the numbers and claims that matter. See Section 6.1 for the general disclaimer.
6.7 Publishing to your connected social accounts
If you connect social accounts, we can publish posts there on your behalf. This section says plainly how that works, including timing and delivery.
- We transmit what you approve. When you schedule a post, or approve a week that contains posts, we transmit that content to the platforms you connected, through our publishing provider. What happens on each platform is governed by that platform's own terms and the provider's terms, and a platform can refuse or remove a post under its own rules.
- A post can go out later than scheduled. We aim for the scheduled time, but delivery can fail for reasons that pass, such as a platform being briefly unavailable. When that happens we retry after a delay, so a post can publish later than its scheduled time, and a post a platform refused can be sent again when the refusal looks temporary.
- Delivery is confirmed after the fact. We check with the platforms after sending whether a post actually appeared, so a post recorded as posted can later be found to have been refused. If a post permanently fails, we email you so the failure is never silent.
- An approved week publishes itself. Approving a planned week schedules each of its pieces to publish automatically at its planned time. The planner includes a control that stops everything not yet posted; pieces that already went out stay on the platforms, and removing them there is up to you.
7. Marketplace
If you publish tasks or participate as a seller, the Marketplace Buyer Agreement and the Marketplace Seller Agreement also apply. In case of conflict on marketplace-specific topics, those agreements control for marketplace transactions.
Summary (see full agreements for details):
- Sellers are independent contractors, not employees or agents of LaunchValid.
- Payments are processed via Stripe Connect. Founders fund tasks; funds are held until the founder approves the deliverable, subject to our dispute process.
- Platform fee: LaunchValid retains 12% of the amount released to the seller upon founder approval.
- Scope visibility: Sellers see task summaries and statements of work, not your full private research, unless you choose to share it.
- Disputes: See Section 12 and the marketplace agreements.
8. Your content and intellectual property
8.1 Your ownership
You retain ownership of business ideas, research text, imports, comments, and other content you submit (“User Content”).
As between you and LaunchValid, you also own the outputs we generate for you from your project: your research sections, notebook answers, action plan, concept and brand designs, decks, investor pack, data room documents, product and engineering documents, and the exported files of any of these (together, “Generated Output”). To the extent any rights in Generated Output would otherwise vest in us, we assign them to you once it is generated, so “you own what you create” holds in practice. Three limits apply: (a) you do not own our underlying methodology, models, prompts, templates, or software, which produce the output but are not part of it (see Section 8.4); (b) AI can produce similar results for different people, so your ownership does not make an output exclusive or guarantee it is original or non-infringing, and you are responsible for reviewing it before you rely on or publish it; and (c) Generated Output is still subject to the disclaimers in Section 6.
8.2 License to LaunchValid
You grant LaunchValid a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, and use User Content solely to operate, improve, and provide the Service, including running AI models on your content within your project settings and team permissions.
8.3 Feedback
If you send suggestions or feedback, we may use them without obligation or compensation to you.
8.4 Our IP
The Service, LaunchValid brand, software, proprietary research methodology, and underlying technology are owned by AmpFi App LLC or its licensors. These Terms do not grant you any rights to our trademarks or trade secrets except limited use necessary to access the Service.
When you publish a validation page or a working app, the page or app we host for you includes our own hosting and runtime code (for example, the code that serves the page, meters bandwidth, captures leads, and connects a built app to its data). That runtime remains our property. You own the content and design of your page or app (as Generated Output and User Content under Section 8.1); you receive a limited license to use our runtime only while we host that page or app for you, and it is not yours to copy, resell, or run elsewhere.
8.5 Data you collect from other people
Some features let you collect personal information from other people: leads from your hosted pages, entries from your built apps, applicants to a program you run, and viewers of your data rooms. For that information, you are the controller and LaunchValid is your processor. We handle it on your behalf to run the feature.
Because you decide what to collect and why, you are responsible for doing so lawfully. You agree that:
- You will provide your own privacy notice to the people you collect from, and you will post a link to it on every published page, intake form, and app that collects their information.
- You have a lawful basis to collect and use that information, and you have any consents required where you and those people are located.
- You will only collect what you need, will honor those people's privacy requests, and will not use LaunchValid to gather sensitive data you are not permitted to handle.
We give you controls to help (form fields you define, viewer allow lists, expiring share links, and export or deletion), but meeting these obligations is your responsibility, not ours.
9. Acceptable use
You agree not to:
- Violate any law or third-party rights.
- Upload malware, spam, or content that is unlawful, harassing, defamatory, or infringing.
- Attempt to reverse engineer, scrape, or overload the Service.
- Misrepresent your identity, credentials, or seller qualifications.
- Use the Service to provide unlicensed legal, medical, or regulated financial advice through the marketplace.
- Circumvent credit limits, access controls, or payment flows.
- Use outputs to mislead consumers or make false advertising claims.
We may investigate violations and suspend or terminate accounts.
9.1 Published pages and hosted apps
When you publish a validation page or a working app, you make content publicly available on our hosting, so extra rules apply. You are responsible for everything on your published page or app: it must be lawful, must not infringe anyone's rights, must not deceive the people who visit it, and must follow Section 8.5 when it collects information from other people (including posting your own privacy notice). You may not publish content that is illegal, fraudulent, hateful, sexually exploitative, or that impersonates another person or brand.
We may remove, unpublish, or disable access to any published page or app, with or without notice, if we reasonably believe it breaks these Terms, the law, or a third party's rights, or if it creates risk for us or others. Where practical we will tell you why and give you a chance to fix it, but we can act first when the content is clearly harmful or we are legally required to. Unpublishing a page does not delete your underlying project.
9.2 Copyright and takedowns
We respect intellectual property rights and expect you to do the same. If you believe content hosted through the Service (for example, on a published page or app) infringes your copyright, send a notice to copyright@launchvalid.com with: your contact details; identification of the work you say is infringed; the URL or enough detail to locate the material; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that the information is accurate and you are the owner or authorized to act for the owner; and your signature (electronic is fine).
We will act on valid notices, including removing or disabling the material and, where appropriate, terminating repeat infringers. If your content was removed and you believe that was a mistake, you may send a counter-notice to the same address with the corresponding information, and we will follow the process the law provides.
10. Third-party services
The Service integrates with third parties including Google (sign-in, Drive export, and Google Sheets storage for your hosted pages and built apps), Stripe (payments), Post for Me (connecting your social accounts and delivering the posts you schedule to those platforms, as described in Section 6.7), AI processing providers, Amazon Web Services (email via SES, file storage via S3), and analytics providers. Your use of those services may be subject to their terms. We are not responsible for third-party services outside our reasonable control.
11. Termination
You may stop using the Service and cancel subscriptions through account settings or Stripe customer portal where available.
We may suspend (a reversible hold) or ban (a permanent closure) your account for violation of these Terms, non-payment, fraud or fraud-risk signals, legal requirement, or to protect the Service or other users. A suspended or banned account cannot sign in or use marketplace, research, or payout features. Upon termination, your right to use the Service ends; sections that by nature should survive (disclaimers, liability limits, dispute resolution) will survive.
Effect on marketplace funds. If your account is suspended or banned while you have active marketplace engagements, we will handle funds held in escrow to protect both sides: money held for undelivered work is refunded to the founder, and payouts on delivered work are frozen for review and then released to the seller or refunded to the founder once our team decides. Details are in the Marketplace Buyer Agreement and Marketplace Seller Agreement. If you believe a suspension is a mistake, contact hello@launchvalid.com.
You may request export or deletion of personal data as described in our Privacy Policy, subject to legal retention requirements.
12. Disputes between users (marketplace)
For disputes between founders and sellers regarding marketplace tasks:
- Parties should first attempt good-faith resolution through the Service messaging and deliverable review tools.
- A founder may open a dispute during the 7-day review window after the seller submits a deliverable, before the task auto-approves. Opening a dispute stops the auto-approval clock and holds the escrowed funds until the dispute is resolved. Once a task auto-approves at the end of that window, funds release to the seller and the dispute route closes.
- LaunchValid may review evidence (messages, deliverables, SOW) and recommend an outcome. LaunchValid is not a court and does not provide legal judgments.
- Escrow release is triggered by founder approval, by auto-approval at the end of the review window, or by final resolution under our dispute policy. Stripe processes payouts according to Connect rules.
LaunchValid’s role is limited to platform facilitation unless otherwise required by law.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAUNCHVALID DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- LAUNCHVALID WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL.
- LAUNCHVALID’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNTS YOU PAID TO LAUNCHVALID IN THE 12 MONTHS BEFORE THE CLAIM.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
15. Indemnification
You will defend, indemnify, and hold harmless AmpFi App LLC, its members, managers, and service providers from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Service, your marketplace activities, or your violation of these Terms or applicable law.
16. Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, except where mandatory consumer protection laws of your state of residence apply.
Informal resolution: Contact hello@launchvalid.com before filing a claim; we will try to resolve disputes informally within 30 days.
Arbitration (US users): Except for small-claims court matters and injunctive relief for IP or misuse, disputes will be resolved by binding individual arbitration under the American Arbitration Association Consumer Arbitration Rules. Class actions and class arbitrations are waived. You may opt out of arbitration within 30 days of first accepting these Terms by emailing hello@launchvalid.com with subject “Arbitration Opt-Out” and your account email.
If arbitration is unenforceable, exclusive jurisdiction lies in state or federal courts in Wyoming.
17. Changes to these Terms
We may update these Terms. We will post the revised version with a new “Last updated” date and, for material changes, provide notice (email or in-app). Continued use after the effective date constitutes acceptance.
18. General
- Entire agreement: These Terms, the Privacy Policy, and applicable marketplace agreements are the entire agreement regarding the Service.
- Severability: If any provision is unenforceable, the remainder stays in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or asset sale (including entity rename or reformation).
- Force majeure: We are not liable for delays due to events beyond our reasonable control.
