2. Service Level Agreement and Platform Availability

LaunchValid commits to the following availability standards for all core enterprise software workflows, including the LaunchValid dashboard, asset review portal, publishing scheduler, and outreach management studio:

2.1 Availability Standard

  • Guaranteed Monthly Uptime Floor: 99.5%
  • Internal Target Service Level Objective (SLO): 99.9%

Uptime is calculated on a calendar-month basis using the formula: Uptime Percentage = ((Total Minutes in Month - Unplanned Downtime Minutes) / Total Minutes in Month) * 100

A 99.5% uptime floor permits a maximum of 3 hours and 39 minutes of unplanned system unavailability during any calendar month.

2.2 Exclusions from Uptime Calculations

The following events are explicitly excluded from downtime calculations:

  1. Scheduled Maintenance: Maintenance windows scheduled with at least 48 hours advance notice via email or platform announcement banner. Scheduled maintenance is restricted to off-peak hours (between 10:00 PM and 4:00 AM Eastern Time).
  2. Third-Party Platform Outages: Outages, API changes, authentication expirations, or service degradation originating from external social networks, advertising platforms, email providers, or cloud hosting infrastructure partners.
  3. Account Holder Actions: Service disruptions caused by client DNS errors, revoked authentication tokens, altered mailbox security policies, or account locks placed by external platforms.
  4. Force Majeure: Natural disasters, armed conflict, government sanctions, or internet-wide backbone disruptions beyond our reasonable control.

2.3 Service Credits for Uptime Default

If platform uptime falls below the 99.5% guaranteed floor in any single billing month, Client is eligible to request a service credit applied against their next monthly or renewal invoice:

  • Uptime between 99.0% and 99.49%: 10% credit of that month's prorated base software subscription fee.
  • Uptime below 99.0%: 25% credit of that month's prorated base software subscription fee.

Service credits are Client's sole and exclusive financial remedy for platform unavailability. To claim a credit, Client must submit a written credit request within 30 days following the end of the month in which the downtime occurred.

3. Support Response Times and Priority Turnarounds

Enterprise clients receive priority routing through our dedicated support operations:

4. SOP-002: Zero Percent Media Markup on Advertising

LaunchValid operates under a strict direct-to-platform media policy codified in Standard Operating Procedure SOP-002:

  1. Direct Platform Billing: Client maintains direct ownership of all advertising accounts across LinkedIn Campaign Manager, Google Ads, Meta Ads Manager, and TikTok Ads. All advertising network charges are billed directly to Client's corporate payment card on file with the respective ad network.
  2. Zero Commission and Zero Markup: LaunchValid charges zero percent (0%) markup, zero media commissions, and zero transactional arbitrage on ad spend. 100% of Client's media spend goes directly to the advertising networks.
  3. Client Spending Control: Client retains sole authority to establish, adjust, or pause daily campaign budget caps. LaunchValid recommends starting campaign tests with daily caps of $50 per day per audience segment. Campaign spend cannot exceed the daily budget parameters specified in writing by Client.

5. Review Cycles, Deliverables, and Intellectual Property

5.1 Asset Delivery and Review Portal

All planned posts, vertical video assets, image carousels, and outreach copy are staged within the LaunchValid workspace for Client review. Client maintains a 48-hour review window prior to scheduled publishing. Any asset not explicitly approved or rescheduled will not be dispatched to external platforms.

5.2 Intellectual Property Ownership

Upon receipt of full payment for the applicable billing period:

  1. Client owns all custom intellectual property created specifically for Client under the engagement, including final written copy, custom video edits, custom graphic templates, and bespoke strategic positioning documents.
  2. LaunchValid retains all ownership rights in its proprietary software platform, workflows, prompts, machine learning systems, underlying code, and pre-existing templates.
  3. Client grants LaunchValid a limited, revocable license to use Client trademarks and public company logos solely for fulfilling the services and for reasonable customer reference unless a non-disclosure agreement specifies otherwise.

6. Outreach Seat Governance and External Network Rules

Where an enterprise package includes dedicated 1:1 outbound outreach seats:

  1. Every outreach seat connects either a personal professional profile or a dedicated corporate mailbox.
  2. Each connected account must adhere to the sending guidelines and safety attestations detailed in the Outreach Policy.
  3. If an external network places a verification hold or restriction on a personal profile, sending actions on that account pause immediately while our team coordinates with Client to complete manual verification. Platform restrictions placed by external networks do not constitute platform downtime under Section 2.

7. Term, Billing, and Termination

7.1 Term and Renewals

Enterprise agreements run for the initial commitment term specified in the applicable Order Form or checkout confirmation (typically 12 months for annual agreements, or 3 months minimum for quarterly retainers). Agreements automatically renew for successive terms of equal duration unless either party provides written notice of non-renewal at least 30 days prior to the expiration of the current term.

7.2 Invoicing and Payments

Annual contracts are invoiced annually in advance. Monthly retainer agreements are billed on the first day of each calendar billing cycle via credit card or ACH transfer. Invoices are due upon receipt. Overdue balances accrue interest at 1.5% per month or the highest rate permitted by law.

7.3 Termination for Cause

Either party may terminate this Agreement immediately upon written notice if the other party:

  1. Materially breaches any provision of this Agreement and fails to cure such breach within 30 days after receiving written notice of the breach.
  2. Ceases operations, makes a general assignment for the benefit of creditors, or files for bankruptcy protection.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  1. Neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill, arising out of or related to this Agreement.
  2. LaunchValid's total cumulative liability arising under or related to this Agreement shall not exceed the total fees actually paid by Client to LaunchValid under the applicable Order Form in the twelve (12) months preceding the event giving rise to liability.

9. Governing Law and Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles. Any dispute arising under or in connection with this Agreement shall be resolved in accordance with our Dispute Resolution Policy.
