Marketplace Seller Agreement

This Marketplace Seller Agreement (“Seller Agreement”) supplements the Terms of Service and applies when you register as a seller or bid on tasks on LaunchValid.

Operator: AmpFi App LLC, a Wyoming limited liability company, doing business as LaunchValid.


1. Independent contractor

You are an independent contractor, not an employee, partner, joint venturer, or agent of AmpFi App LLC or LaunchValid. You are solely responsible for your taxes, insurance, licenses, and compliance with laws applicable to your work. Nothing in this Seller Agreement creates an employment relationship.


2. Seller onboarding

To bid on tasks you must:

  • Be at least 18 years old, legally authorized to enter into contracts, and legally permitted to provide the services you offer and to receive payment from the location where you work. You are solely responsible for your own tax, licensing, immigration, and work-authorization compliance; LaunchValid is not your employer and does not verify your right to work. You confirm all of this when you submit your profile for review.
  • Complete seller registration (profile, expertise categories, portfolio where required).
  • Connect a Stripe Connect Express account for identity verification and payouts. Tax and bank details are collected on Stripe’s secure pages. LaunchValid does not store your SSN, EIN, bank account, or government ID.
  • Submit your profile for LaunchValid review. We may approve, reject, or request changes. Until approved, you cannot bid.
  • Provide accurate credentials for regulated categories (legal, tax/CPA). We may require license verification before you validate research sections or bid on certain tasks.

3. Marketplace rules

  • Task visibility: You see the task title, category, budget range, deadline, and statement of work (SOW) summary. You do not see founders’ full private research unless they share it with you.
  • Bids: Your bid includes price, timeline, and proposal. Bids are binding offers until withdrawn before assignment or as allowed by the Service.
  • Assignment: A founder selects your bid and funds the task through Stripe. Funds are held until deliverable approval or dispute resolution.
  • Deliverables: You upload work through the Service. Deliverables must match the published SOW.
  • Professional standards: Do not provide services requiring a license unless you hold and maintain that license. Do not misrepresent qualifications.

4. Payments and fees

  • Escrow model: Founders pay through Stripe; funds are held by Stripe’s Connect infrastructure until the founder approves the deliverable.
  • Platform fee: LaunchValid deducts 12% of the amount released to you upon founder approval.
  • Payouts: Processed to your connected Stripe account per Stripe’s schedule and rules.
  • New-seller clearing period: To protect against fraud and card chargebacks, released funds for new sellers are held in your Stripe balance before paying out to your bank. The hold starts at 14 days, eases to 7 days after you complete three clean jobs, and is lifted for accounts older than about 120 days (roughly the card-chargeback window). This affects when you are paid out, not whether; approved funds are already yours.
  • Holds and freezes: LaunchValid may pause a payout or freeze released funds pending review where an account is suspended, a good-faith fraud or non-delivery report is filed against an engagement, or a chargeback is in progress. Frozen funds are released to you or refunded to the founder once our team reviews the matter.
  • Tax reporting: Stripe may issue 1099-K or other tax forms when thresholds apply. You are responsible for reporting income.

LaunchValid does not guarantee any minimum volume of tasks or earnings.


5. Intellectual property

Unless the task SOW or written agreement with the founder states otherwise:

  • Upon founder approval and release of payment, you assign to the founder all rights in deliverables created specifically for that task (work made for hire to the extent permitted, otherwise exclusive assignment).
  • You retain rights in your pre-existing tools, templates, and general know-how.

Do not include third-party materials that infringe others’ IP.


6. Conduct and prohibited services

You will not:

  • Circumvent the platform to avoid fees.
  • Harass founders or other users.
  • Deliver plagiarized, AI-fabricated, or fraudulent work without disclosure where material.
  • Provide unlicensed legal, medical, or regulated financial advice.
  • Share founders’ confidential information outside the task.

We may remove listings, suspend seller accounts, or withhold payouts when investigating violations, subject to Stripe rules and applicable law.


7. Cancellations and disputes

Cancellations before delivery. A founder may request to cancel an undelivered task. You can accept (the founder is refunded and the task closes) or decline (the case goes to review). If you do not respond within 5 days, the task cancels automatically and the founder is refunded in full. No payout is due for a cancelled, undelivered task. If you had already done substantial work, decline the request so our team can review a fair outcome. See the Cancellation Policy.

Disputes. If a founder disputes a deliverable:

  1. Respond promptly through the Service with good-faith explanations and revisions if appropriate.
  2. LaunchValid reviews messages, the SOW, and uploaded files and decides the outcome.
  3. Escrow release, refund, or a partial split follows the Dispute Resolution Policy and Stripe Connect capabilities.
  4. LaunchValid is not liable for founder decisions or losses from disputed work beyond our platform role.

The Cancellation Policy, Dispute Resolution Policy, and Refund Policy form part of this Agreement.

7a. Chargebacks and payout recovery

You are responsible for chargebacks and card disputes arising from your work. If a founder's bank reverses a payment (a "chargeback") for a task you were paid on, and the chargeback is lost or the funds are otherwise reclaimed from LaunchValid, you authorize LaunchValid to recover the corresponding amount from you, including by reversing the related Stripe transfer, deducting it from your Stripe Connect balance, and offsetting it against your current or future payouts. If those amounts are insufficient, the shortfall remains a debt you owe. This does not apply where the chargeback results solely from LaunchValid's own error.


8. Ratings, reputation, and reporting

  • Public profile. Founders may see your public seller profile (photo, bio, categories, portfolio, vetted badge).
  • Ratings and reputation. After a completed engagement, the founder may rate you 1 to 5 stars with an optional comment, and you may rate the founder. LaunchValid displays your average rating, number of ratings, recent reviews, and performance stats (jobs completed, completion rate, on-time rate) and a composite score on your public profile. Ratings reflect the parties’ opinions; you may respond through support if you believe a rating breaches our rules, but we do not remove ratings simply because you disagree with them.
  • Reporting. You can report a founder, task, bid, or message that appears fraudulent, abusive, off-platform, or otherwise in breach of our terms. Founders can report you on the same basis. Reports are reviewed by our team and may lead to the actions in Sections 4, 6, and 9. Do not file reports in bad faith.

9. Termination

You may stop selling by disconnecting or not bidding. We may suspend or terminate seller access for violations, failed verification, or risk to the platform.

Outstanding payment obligations for approved work survive termination.


10. Disclaimers and liability

THE MARKETPLACE IS PROVIDED AS IS. LAUNCHVALID DISCLAIMS WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW. LAUNCHVALID’S LIABILITY ARISING FROM SELLER ACTIVITIES IS SUBJECT TO THE LIMITATIONS IN THE TERMS OF SERVICE.

You indemnify LaunchValid for claims arising from your services, deliverables, or violation of this Seller Agreement.


11. Changes

We may update this Seller Agreement with notice as described in the Terms of Service. Continued seller activity after changes constitutes acceptance.
