Marketplace Buyer Agreement

What changed: We aligned the dispute window with the 7-day review window so the two no longer conflict, and we fixed cross-links to the Terms of Service and Seller Agreement.
This Marketplace Buyer Agreement (“Buyer Agreement”) supplements the Terms of Service and applies when you publish tasks, fund assignments, or approve deliverables on LaunchValid’s marketplace as a founder or buyer.
Operator: AmpFi App LLC, a Wyoming limited liability company, doing business as LaunchValid.
1. Role of LaunchValid
LaunchValid provides a platform that connects founders with independent sellers. LaunchValid is not the seller of marketplace services and does not guarantee seller performance, quality, or outcomes. Sellers are independent contractors.
2. Publishing tasks
When you publish a task:
- You provide or confirm a statement of work (SOW) derived from your research or your own description.
- You set budget range and deadline expectations.
- Sellers see the SOW summary and task details only. They do not see your full private research workspace unless you choose to share additional materials.
- You represent that you have rights to share any content included in the SOW or attachments.
3. Selecting a seller and funding
- You may compare bids by price, timeline, and seller profile (including vetted badge and credentials where shown).
- When you assign a bid, you authorize payment through Stripe into an escrow-style hold managed by Stripe Connect until you approve the deliverable.
- Escrow note: Your payment is held until you approve the deliverable. LaunchValid takes 12% when funds are released to the seller.
You are responsible for reviewing seller qualifications for regulated work (legal, tax, etc.).
4. Deliverable review and approval
- Sellers upload deliverables through the Service.
- Review deliverables promptly. Approval triggers release of funds to the seller (minus platform fee).
- If deliverables do not match the SOW, request revisions through the Service before approving.
- Approval is final for payment release except as provided under disputes.
- Automatic approval. When you pay for a task, you agree that your payment is held in escrow and released to the seller either when you approve, or automatically if you take no action within the review window shown in-product (currently 7 days) after the seller submits the deliverable. We will remind you before this happens. You confirm this understanding at checkout.
- Raise problems here first. If something is wrong, open a dispute through the Service rather than filing a card chargeback with your bank. Charging back instead of using our dispute process is a breach of these terms and we may suspend your account.
After approving marketplace deliverables, you may use Sync research to incorporate new context into your research workspace.
5. Cancellations, disputes and refunds
Before delivery (cancellation). While funds are held and the seller has not delivered, you may request to cancel. If the seller accepts, you are refunded the task amount minus the 12% platform fee. If the seller does not respond within 5 days, you are refunded in full. If the seller declines, the case goes to dispute review. Full terms are in the Cancellation Policy and Refund Policy.
After delivery (dispute). If you believe a deliverable is materially deficient:
- Open a dispute during the 7-day review window after the seller submits the deliverable, before the task auto-approves. Opening a dispute counts as action, so it stops the auto-approval clock and keeps your payment held until the dispute is resolved. Once a task auto-approves at the end of that window, payment releases to the seller.
- Provide specific reasons and evidence through the Service.
- LaunchValid reviews the task, the delivery, and the conversation and decides the outcome. We do not provide legal judgments.
- Refunds, releases, or partial outcomes follow the Dispute Resolution Policy and Stripe Connect rules.
LaunchValid may withhold release during an open dispute. The Refund Policy, Cancellation Policy, and Dispute Resolution Policy form part of this Agreement.
5a. Repeated cancellations
Cancellation is meant for genuine changes of plan, not a way to occupy sellers’ time at no cost. If you repeatedly cancel funded tasks before delivery, LaunchValid may flag your account for review, limit your marketplace access, or take the account actions described in the Terms of Service. Sellers can also see reliability information about you (see Section 9a).
6. Professional services disclaimer
Marketplace sellers may include attorneys, CPAs, developers, and consultants. LaunchValid does not verify every claim beyond our review process and category-specific credential checks where implemented.
- Legal and tax deliverables are not a substitute for your own professional relationships where required.
- Research sections marked for professional validation require appropriate seller validation before export where your plan requires it.
7. Fees and taxes
You pay the agreed task amount through Stripe. Applicable sales taxes may apply. Subscription and credit terms remain governed by the Terms of Service.
8. Intellectual property
Upon your approval and payment release, deliverables are assigned to you as described in the Marketplace Seller Agreement unless your written SOW states otherwise.
9. Prohibited conduct
You will not:
- Publish tasks for illegal services.
- Misrepresent scope to attract low bids then demand unpaid extra work.
- Circumvent the platform to avoid fees after connecting through LaunchValid.
- Harass sellers.
9a. Ratings and reporting
- Ratings. After a completed engagement, you may rate the seller 1 to 5 stars with an optional comment, and the seller may rate you. LaunchValid displays seller ratings and stats publicly, and shows sellers a reliability signal about you (for example, your rating from sellers, number of jobs paid, and cancellation rate) so they can decide whether to bid. Ratings reflect the parties’ opinions.
- Reporting. You can report a seller, task, bid, or message that appears fraudulent, abusive, off-platform, or otherwise in breach of our terms. A good-faith fraud or non-delivery report on an active engagement may pause the related payout while our team reviews it. Do not file reports in bad faith.
10. Limitation of liability
LAUNCHVALID’S LIABILITY RELATED TO MARKETPLACE TRANSACTIONS IS SUBJECT TO THE LIMITATIONS AND DISCLAIMERS IN THE TERMS OF SERVICE. LAUNCHVALID IS NOT LIABLE FOR SELLER ACTS, OMISSIONS, OR DELIVERABLE QUALITY BEYOND OUR PLATFORM ROLE.
11. Changes
We may update this Buyer Agreement with notice as described in the Terms of Service. Continued use of marketplace features after changes constitutes acceptance.
