White-Label Reseller Agreement

This White-Label Reseller Agreement (“Reseller Agreement”) supplements the Terms of Service, Privacy Policy, and Data Processing Agreement, and applies to any organization, agency, or individual subscribing to the LaunchValid Agency White-Label Reseller Program.

Operator: AmpFi App LLC, a Wyoming limited liability company, doing business as LaunchValid.

Reseller: The agency, consulting firm, or organization enrolled in the LaunchValid Agency White-Label Reseller Program.

1. Scope and White-Label Reseller Rights

LaunchValid grants the Reseller a revocable, non-exclusive, non-transferable, worldwide commercial license to:

  1. Brand Deliverables: Remove LaunchValid brand attributions from validation research reports, market studies, business plans, product specifications, brand kits, content plans, and investor memos generated within the Reseller's organization workspace.
  2. Custom Attribution: Display the Reseller's own trade name, logo, typography styling, and "Prepared by [Reseller Name]" attribution on deliverables shared with Reseller's direct clients.
  3. Client Sub-Accounts: Manage multiple discrete client projects within the Reseller organization workspace on a done-for-you (DFY) or collaborative basis.
  4. Independent Pricing: Set autonomous retail pricing, retainers, and billing terms with direct clients for deliverables and ongoing advisory services. LaunchValid has no claim to, nor insight into, Reseller's client billing.

2. Subscription, Pooled Credits, and Metering

  1. Monthly Plan and Billing:
    • The Agency White-Label subscription is billed at $499 per month (or $4,990 annually paid upfront).
    • Subscription fees are billed automatically to the Reseller's designated payment method at each renewal interval.
  2. Monthly Credit Allowance:
    • Each monthly billing cycle provides 5,000 pooled research and production credits.
    • Pooled credits are shared dynamically across all client projects created under the Reseller's organization.
    • Monthly plan credits replenish at each renewal date. Unused base monthly allowance credits do not roll over across subscription periods.
  3. Usage Top-Ups:
    • If pooled credits are depleted before renewal, the Reseller may purchase additional credit packs at standard rates ($0.09 per credit).
    • Purchased top-up credits never expire while the account remains active.
  4. Cancellation:
    • The subscription may be canceled at any time from the account dashboard or by written notice at least 48 hours prior to renewal.
    • Upon cancellation, white-label generation and de-attribution access remain active until the end of the paid billing period.

3. Done-For-You Operations and Client Representation

  1. Independent Contractor Status: Reseller operates as an independent contractor and reseller. Reseller is not an employee, legal agent, partner, or joint venturer of AmpFi App LLC. Reseller has no authority to bind, contract on behalf of, or legally obligate LaunchValid.
  2. Client Relationship Ownership: Reseller maintains sole ownership of the commercial, billing, and advisory relationship with their end clients. LaunchValid will not market directly to, contact, or solicit Reseller's designated end clients without Reseller's prior written permission.
  3. Client Conduct and Legal Boundaries:
    • Reseller shall not represent LaunchValid or its AI research workflows as licensed legal counsel, certified public accountants, registered investment advisers, or broker-dealers.
    • Reseller assumes sole responsibility for reviewing, fact-checking, and advising clients regarding any generated market models, financial projections, or regulatory summaries before client delivery.

4. Data Processing, Privacy, and Confidentiality

  1. Controller and Processor Roles:
    • With respect to Reseller's end-client confidential data, project briefs, and stakeholder information, Reseller acts as the Data Controller (or intermediary processor), and LaunchValid acts as the Data Processor (or sub-processor).
    • Processing is governed by the Data Processing Agreement, incorporated herein.
  2. Sub-processing Authorization: Reseller warrants that it holds all required contractual consents and privacy disclosures from its end clients to process client materials through LaunchValid and its vetted infrastructure providers (Annex B of the DPA).
  3. Zero AI Training Guarantee: In accordance with LaunchValid policy, customer and client project data processed through the platform is never used to train public or foundational artificial intelligence models.

5. Deliverables Ownership and Survival

  1. Client Ownership: All final reports, PDFs, markdown exports, and brand assets exported by Reseller belong to Reseller or Reseller's clients in accordance with Reseller's own client agreements.
  2. Survival Upon Termination: Termination or expiration of the Reseller Agreement shall not invalidate or revoke client ownership of previously exported deliverables, nor require retroactive re-attribution of completed work.

6. Prohibited Reseller Practices

Reseller agrees not to:

  1. Resell unbranded or branded access to LaunchValid APIs as a competing multi-tenant software service or public SaaS platform without a separate enterprise API licensing agreement.
  2. Use LaunchValid trademarks, service marks, or trade dress in misleading marketing that implies LaunchValid endorses or guarantees specific client fundraising or commercial outcomes.
  3. Facilitate spam, predatory marketing, or fraudulent solicitations using LaunchValid's automated outreach studio. All client outbound activity must comply with the Outreach Policy.
